Terms of Service

1. Agreement to Terms

By accessing and using the services of Surprise by Adunola ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Surprise by Adunola provides event planning, backdrop design, and related services ("Services"). The specific scope of Services will be outlined in individual contracts or booking agreements.

3. Booking and Payment

3.1 Deposits

A non-refundable deposit of 50% is required to secure your booking. The remaining balance is due 14 days before the event date.

3.2 Payment Methods

We accept payments via Nigerian bank transfer (GTBank, Access Bank, Zenith Bank, UBA, First Bank), mobile money platforms (Opay, Kuda, PalmPay), and international wire transfers for diaspora clients.

3.3 Late Payments

Late payment may result in service suspension or cancellation. A late fee of 5% of the outstanding balance may be applied to overdue payments.

4. Cancellations and Refunds

4.1 Client Cancellations

• 60+ days before event: 80% refund (deposit forfeited)
• 30-59 days before event: 50% refund
• Less than 30 days: No refund

4.2 Company Cancellations

In the unlikely event that we must cancel, you will receive a full refund or the option to reschedule at no additional cost.

4.3 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control (natural disasters, pandemics, government restrictions, etc.).

5. Client Responsibilities

Clients agree to:

• Provide accurate information regarding event details and requirements
• Communicate changes or special requests in a timely manner
• Ensure venue access and necessary permissions are secured
• Adhere to agreed-upon timelines and deadlines
• Treat our team and vendors with respect

6. Our Commitments

We commit to:

• Deliver services as outlined in the booking agreement
• Maintain professional standards and quality
• Communicate proactively about event planning and execution
• Respect your privacy and confidentiality
• Provide backup plans for critical services

7. Intellectual Property

7.1 Design Ownership

All custom designs, concepts, and plans created by Surprise by Adunola remain our intellectual property unless explicitly transferred in writing.

7.2 Photography and Marketing

We reserve the right to photograph events and use images for marketing purposes unless a non-disclosure agreement is in place. Clients who prefer privacy must notify us in writing.

8. Limitation of Liability

Surprise by Adunola shall not be liable for indirect, incidental, or consequential damages arising from our services. Our total liability shall not exceed the total amount paid for the specific event.

We are not responsible for:

• Actions or failures of third-party vendors
• Venue-related issues beyond our control
• Guest behavior or injuries
• Weather-related complications for outdoor events

9. Indemnification

You agree to indemnify and hold harmless Surprise by Adunola from any claims, damages, or expenses arising from your event, including but not limited to property damage, personal injury, or violations of applicable laws.

10. Changes to Services

Changes to booked services must be requested in writing at least 14 days before the event. Additional fees may apply for significant changes. We reserve the right to refuse changes that compromise service quality.

11. Dispute Resolution

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled through mediation in Lagos State, Nigeria, in accordance with the Laws of the Federal Republic of Nigeria.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
